These Terms and Conditions (“Terms”) govern all work, services, and products provided by Wraptron Apptech LLP (“we,” “our,” or “us”) to our clients (“Client,” “you,” or “your”). By engaging with Wraptron Apptech LLP, using our services, or purchasing any of our products, you agree to these Terms and Conditions.
Our estimates and quotes are based on our understanding of your requirements and the agreed timeline. Any changes to the functionality, including minor enhancements, may incur additional charges. We recommend verifying our understanding in a meeting or email. Acceptance of a quote is considered binding when confirmed verbally, by email, through payment of initiation fees, or by signing the quote.
Clients are responsible for ensuring that all requirements are accurately covered in the quote, proposal, or estimate and that we fully understand their needs. Clear instructions and any additional information must be provided. If details are omitted, we will proceed based on our interpretation of the requirements, and discrepancies that arise later may incur additional charges. Specific task complexities should be disclosed in advance and included in the proposal for accurate costing.
All fees and charges are outlined in the project proposal or quote and are subject to acceptance of these Terms. Additional Charges: Changes to the project scope after acceptance will incur additional fees, as detailed below:
Limited man-hours are allocated to each project task, including those for the Project Manager, Frontend Developer, and Backend Developer. Minor changes within these hours may be accommodated but will be assessed individually.
Wraptron will make every effort to adhere to project timelines. Reasonable delays are accepted if there are modifications to functionalities or requirements. Delays on the Client’s end may affect the project schedule and result in additional costs.
Bug Fixing: Bugs identified during or immediately after development will not incur additional charges. However, any rework on completed tasks may incur fees. Ongoing Support: Wraptron provides optional support and maintenance packages. These include bug fixes, updates, and minor enhancements as specified in the maintenance contract. Go-to-Market Support: Wraptron shall support projects post Go-to-Market, offering guidance and necessary technical assistance based on the agreed support or maintenance contract. Any additional post Go-to-Market support beyond the contract scope will incur separate charges.
Warranty: Wraptron provides a limited warranty for a specified period post-deployment. Beyond this period, all support and maintenance will be subject to separate charges.
Ownership of Source Code: Wraptron retains copyright over proprietary software codes. Ownership transfer or licensing for modification purposes is available upon payment of all dues and additional charges. The Client may not use Wraptron’s proprietary code for resale or duplication. Usage Restrictions: Wraptron’s code, designs, and software may only be used for the specific project or legal entity outlined in the project agreement. Duplication, distribution, or commercial use outside the agreed terms is prohibited.
Limitation of Liability: Wraptron is not liable for any indirect or consequential damages resulting from the use or inability to use our products or services. Force Majeure: Wraptron is not liable for delays or damages caused by unforeseen circumstances, such as third-party software issues or server interruptions.
All project communications are conducted primarily via email. It is the Client’s responsibility to keep Wraptron updated with relevant contact details.
By engaging Wraptron Apptech LLP and accepting a quote, you acknowledge that you have read, understood, and agreed to abide by these Terms and Conditions.
